Terms of Service

Effective date: June 1, 2025.

These Terms of Service ("Terms") govern your access to and use of the NerdsMX platform ("the Service"), operated by its owners ("we", "the company"). By creating an account or using the Service you agree to be bound by these Terms.

1.1 Nature of the Service

NerdsMX is a software-as-a-service (SaaS) platform that enables users to configure and customize technical parameters of a Roku device application. The Service exclusively provides:

• An administration panel for managing configurations (serials, images, colors, language, etc.)
• Package (.pkg) generation tools for the Roku platform
• Payment processing via authorized gateways (Stripe, MercadoPago)

NerdsMX does NOT host, stream, distribute, reproduce, license or have any relationship with audiovisual content (channels, movies, series, live streams or other multimedia material) that users configure through their chosen DNS servers.

1.2 Eligibility

You must be at least 18 years old and legally capable of entering contracts in your jurisdiction to use the Service. By accepting these Terms you represent that you meet these requirements.

1.3 Accounts

You are responsible for maintaining the confidentiality of your credentials. Any activity from your account is your responsibility. Notify any unauthorized access immediately at [email protected].

1.4 Payments and Subscriptions

Prices, billing cycles and accepted payment methods are indicated in the Service store. Charges are final except in the case of documented errors. Subscriptions activate immediately upon payment completion.

1.5 Suspension and Cancellation

We reserve the right to suspend or cancel any account, without prior notice and without refund, upon reasonable indications of violation of these Terms, illegal use, or request by a competent authority.

1.6 Modifications

We may modify these Terms at any time. Continued use of the Service after changes are posted constitutes acceptance of the changes. For material changes we will notify by email if we have your registered address.

Acceptable Use

2.1 Prohibited Uses

It is strictly prohibited to use the Service to:

• Configure, distribute or facilitate access to pirated, illegal or unauthorized IPTV content protected by copyright
• Transmit, host or distribute content that infringes third-party intellectual property rights
• Any illegal activities under applicable law
• Content that depicts or promotes abuse, violence, child pornography or discrimination
• Send spam, malware, viruses or any harmful code
• Attempt to gain unauthorized access to systems, accounts or networks
• Reverse engineer, decompile or disassemble the Service
• Resell or sublicense Service access without prior written authorization

2.2 User Responsibility

The user is the sole and exclusive responsible party for the DNS server configured in their serial, the content transmitted through that server, and for obtaining all necessary licenses, permits and legal authorizations to operate the streaming service pointed through our platform.

NerdsMX acts solely as a technical configuration tool provider and has no knowledge, control or participation in the content that users' servers transmit or distribute.

Content Disclaimer

3.1 Content Neutrality Declaration

NerdsMX is a neutral technical configuration platform. The platform:

• Does NOT store any audio, video, multimedia content files or media databases
• Does NOT transmit any television signals, movies, series or multimedia content
• Does NOT manage playlists (M3U, XML, EPG) or programming guides
• Has NO commercial or technical relationship with content providers or their servers
• Does NOT charge for access to any multimedia content

The DNS servers that users configure are their sole property and responsibility. NerdsMX has no access, knowledge or control over those servers or the content they serve.

3.2 Technical Analogy

NerdsMX functions analogously to an email client: it provides the technical interface, but does not control or bear responsibility for the messages sent through it. Similarly, NerdsMX provides the Roku app configuration interface but does not control or bear responsibility for content distributed by the user's servers.

3.3 User-Generated Content

Images, logos and visual materials that users upload to the platform to customize their application must be owned by them or properly licensed. NerdsMX does not review or validate the intellectual property of such materials and the user assumes full responsibility in this regard.

DMCA / Copyright

4.1 DMCA Compliance

NerdsMX respects intellectual property rights and expects its users to do the same. In compliance with the Digital Millennium Copyright Act (17 U.S.C. § 512), we have designated an agent to receive notifications of alleged infringements.

4.2 Safe Harbor

NerdsMX claims the safe harbor provisions available to online service providers under the DMCA. As a neutral technical intermediary that lacks actual knowledge of the content users point through the platform and does not receive a financial benefit directly attributable to an alleged infringement, we are not liable for potential infringements by our users.

4.3 DMCA Notice Procedure

If you believe your copyrighted work is being infringed through our platform, send a written notice to our designated agent that includes:

• Physical or electronic signature of the rights holder or authorized representative
• Identification of the copyrighted work alleged to be infringed
• Identification of the infringing material and its location in the Service
• Contact information of the claimant (address, phone, email)
• A good faith statement that the use is not authorized by the rights holder or law
• A statement under penalty of perjury that the information is accurate and the claimant is authorized to act

4.4 Counter-Notice

If you believe your material was removed in error, you may send a counter-notice to the same address, including: identification of the removed material, your contact information, a good faith statement that the material was removed in error, and your signature.

4.5 Repeat Infringers

NerdsMX will terminate the accounts of users who are repeat copyright infringers in accordance with its internal policy and the applicable DMCA provisions.

Privacy Policy

5.1 Data We Collect

We collect only the information necessary to operate the Service:

• Account data: username, email address (optional), encrypted password, preferred language and currency
• Payment data: processed directly by Stripe or MercadoPago. NerdsMX does not store card numbers. We only store the customer identifier from the payment processor
• Technical data: serial configurations (DNS, images, app parameters)
• Usage data: creation date, subscription expiration

5.2 Use of Data

We use your data exclusively to:

• Authenticate your access to the Service
• Process and manage your subscription
• Respond to support requests
• Comply with legal obligations

We do not sell, rent or share your personal data with third parties for commercial or advertising purposes.

5.3 Security

Passwords are stored with secure hashing. Communications use HTTPS/TLS. We implement access controls to limit who can view your data within our organization.

5.4 Retention

We retain your data while your account is active. You may request deletion of your account and data at [email protected]. We may retain minimal data for the legally required period.

5.5 Cookies

We use only essential session cookies for Service functionality (authentication, language and currency preferences). We do not use tracking or advertising cookies.

5.6 User Rights

You have the right to access, rectify, cancel or object to the processing of your personal data under applicable law. Write to us at [email protected].

Liability Limitation

6.1 Disclaimer of Warranties

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose or non-infringement.

6.2 Limitation of Liability

To the maximum extent permitted by applicable law, NerdsMX shall not be liable under any circumstances for:

• Indirect, incidental, special, consequential or punitive damages
• Loss of revenue, data, goodwill or other intangible losses
• Service interruptions, errors or inaccuracies in content
• Unauthorized access to your data or transmissions
• Actions or omissions of third parties, including content providers that users configure
• Legal consequences arising from the user's illegal use of the Service

NerdsMX's total liability to you for any cause shall not exceed the total amount paid by you in the 3 months preceding the event giving rise to the claim.

6.3 Indemnification

You agree to defend, indemnify and hold harmless NerdsMX, its directors, employees and agents from and against any claims, damages, obligations, losses, liabilities, costs or debts arising from: (i) your use of the Service; (ii) your violation of these Terms; (iii) your violation of third-party rights, including intellectual property rights; or (iv) any claim that the content you configured caused harm to a third party.

6.4 Governing Law and Jurisdiction

These Terms are governed by the laws of Mexico. The parties submit to the jurisdiction of the competent courts of Mexico City to resolve any dispute related to the Service.
